Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the TokenCompress service ("Service"), operated by inPhrase ("we", "us", "our") at TokenCompress.com. By creating an account, subscribing to a plan, or using our API, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not use the Service.

2. Service Description

TokenCompress is a context compression proxy service for Large Language Models (LLMs). The Service:

• Accepts code and text context via API
• Applies a 2-stage compression pipeline (AST chunking and perplexity ranking)
• Forwards compressed context to your chosen LLM provider (OpenAI, Anthropic, Google, DeepSeek, etc.)
• Returns the LLM response to you

TokenCompress does not provide the LLM itself. You must have your own API keys and accounts with third-party LLM providers. We act solely as a compression proxy between you and these providers.

3. Account Registration

To use the Service, you must create an account via GitHub or Google OAuth. You agree to:

• Provide accurate and current information
• Maintain the security of your account credentials and API keys
• Promptly notify us of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Service.

4. Subscription Plans and Pricing

We offer the following subscription plans:

Billing cycle: Subscription periods are 30 calendar days. Unused requests do not roll over to the next billing period — they expire at the end of each cycle.

Annual billing: Annual plans are available at a discounted rate. Annual subscriptions are billed upfront for 12 months.

Add-ons: You may purchase additional request packs at the rate specified for your plan. Add-on requests expire at the end of the current billing cycle.

No rate limits within cycle: There are no per-minute, per-hour, or per-day rate limits. You may consume your entire monthly allocation at any pace within the billing period.

5. Free Trial

We offer a 3-day free trial of the Pro plan, which includes 1,500 compression requests for the entire trial period. The trial:

• Does not require a payment method to activate
• Automatically expires after 3 days or when the 1,500 requests are exhausted, whichever comes first
• Is limited to one trial per user
• Does not automatically convert to a paid subscription

6. Payment Processing

All payments are processed by Paddle.com, our Merchant of Record. Paddle handles billing, tax compliance, invoicing, and currency conversion on our behalf. When you subscribe, you enter into a payment relationship with Paddle in addition to your service relationship with us.

Paddle collects and remits all applicable sales taxes, VAT, and GST based on your location. Prices displayed may be exclusive of tax; the final amount charged will include all applicable taxes as determined by Paddle.

By subscribing, you agree to Paddle's Terms of Service and Privacy Policy.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit malicious code, malware, or exploit vulnerabilities in our systems
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Resell, sublicense, or redistribute the Service without our written consent
• Use the Service for generating illegal, harmful, or abusive content
• Circumvent usage limits, authentication mechanisms, or security controls
• Interfere with or disrupt the integrity or performance of the Service
• Share API keys with unauthorized third parties

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.

8. Intellectual Property

Your Content: You retain all rights to the code, text, and data you submit through the Service ("Your Content"). We do not claim ownership of Your Content.

Our Service: The Service, including its algorithms, software, user interface, documentation, and branding, is our proprietary property or the property of our licensors. These Terms do not grant you any rights to our intellectual property except as needed to use the Service.

Data Processing: Your Content is processed in real-time for compression purposes only. We do not store, train on, or retain Your Content after the compression request is completed, except for aggregate, anonymized usage metrics.

9. Data Handling and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

Key data handling principles:

• Your code and text content passes through our compression pipeline and is not stored after processing
• We collect usage metrics (request counts, compression ratios, latency) in aggregate form
• Your LLM provider API keys are encrypted at rest and never logged
• We do not sell, share, or use your data for training AI models

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. The Service is provided on an "as is" and "as available" basis.

We may perform scheduled maintenance with reasonable advance notice. Emergency maintenance may be performed without prior notice when necessary to protect the integrity or security of the Service.

We are not liable for any downtime, errors, or interruptions caused by:

• Third-party LLM provider outages or changes
• Internet connectivity issues
• Force majeure events
• Scheduled or emergency maintenance

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Our total aggregate liability arising out of or related to these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.
• We are not responsible for the output quality, accuracy, or behavior of third-party LLM providers.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify and hold harmless inPhrase (trading as TokenCompress), its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law or third-party rights
• Content you submit through the Service

13. Termination

By you: You may cancel your subscription at any time through your dashboard or by contacting us at info@tokencompress.com. Upon cancellation, your subscription remains active until the end of the current billing period. See our Refund Policy for details on refunds.

By us: We may suspend or terminate your access to the Service immediately if you breach these Terms. In the case of termination for cause, no refund will be provided.

Effect of termination: Upon termination, your right to use the Service ceases immediately. We may delete your account data after a reasonable retention period (typically 30 days), except where longer retention is required by law.

14. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will:

• Post the updated Terms on this page with a new "Last updated" date
• Notify you by email or through the Service at least 30 days before the changes take effect

Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Service.

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of England and Wales.

Nothing in these Terms affects your statutory rights as a consumer under the laws of your country of residence, including mandatory consumer protection laws of the European Union, the United Kingdom, or any other applicable jurisdiction.

16. International Users

The Service is available worldwide. By using the Service from outside the United Kingdom, you consent to the transfer of your data to the UK and other jurisdictions where we or our service providers operate.

European Economic Area (EEA) users: We process your data in compliance with the General Data Protection Regulation (GDPR). See our Privacy Policy for details on data transfers and safeguards.

US users: We comply with applicable US privacy laws, including the California Consumer Privacy Act (CCPA) where applicable.

You are responsible for ensuring your use of the Service complies with the laws and regulations of your jurisdiction.

17. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and inPhrase (trading as TokenCompress).
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
• Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.
• No Agency: Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and us.
